Please read these terms carefully. By creating an account or using RingyDing, you agree to be bound by these Terms of Service. If you do not agree, do not use the app.

1. About These Terms

These Terms of Service ("Terms") form a legally binding agreement between you and Small Pond Software, LLC ("Company," "we," "our," or "us") governing your use of the RingyDing application and any related services (collectively, the "Service"). These Terms apply to all users, including beta testers.

RingyDing is a personal connection service. We do not engage in affiliate marketing, lead generation, or the resale of user data or contacts. Any text messages sent through the Service are strictly for account verification and service notifications — never for third-party marketing.

2. Eligibility

You must be at least 18 years old to use RingyDing. By using the Service, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of another person, you represent that you have the authority to bind that person to these Terms.

We reserve the right to monitor interactions on the Service for safety purposes and to take action, including removing content and suspending or banning accounts, when these rules are violated.

5. Text Messages (SMS)

By providing your phone number, you consent to receive text messages from RingyDing for account verification and service-related notifications. Message and data rates may apply. Message frequency varies.

6. User Reporting

If another user makes you uncomfortable or you believe someone has violated these Terms, please use the in-app reporting feature or contact us at support@smallpondsoftware.com. We take all reports seriously and will investigate promptly. We may suspend or permanently ban users who violate these Terms.

7. Subscriptions and Payment

Access to certain features of RingyDing requires a paid subscription. Subscriptions are offered through the Apple App Store and are subject to Apple's terms and conditions in addition to these Terms.

8. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or if we determine that your continued use poses a risk to other users or the integrity of the Service. You may also delete your account at any time by contacting us at support@smallpondsoftware.com.

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination will do so, including Sections 9 through 12.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

We are not responsible for the conduct of any user on or off the Service. Your interactions with other users are solely between you and those users.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Small Pond Software, LLC and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of or inability to use the Service.

In no event will our total liability to you for all claims relating to the Service exceed the greater of the amount you paid us in the twelve months preceding the claim or one hundred dollars ($100).

11. Dispute Resolution and Arbitration

Please read this section carefully. It affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration will take place in Colorado, and the arbitrator's decision will be final and binding.

Class action waiver: You and Small Pond Software, LLC each agree that any dispute resolution proceedings will be conducted on an individual basis only. You waive any right to bring or participate in a class action, class arbitration, or representative proceeding of any kind.

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration. Nothing in this section prevents either party from bringing an individual claim in small claims court if the claim qualifies.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles. To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Colorado.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the revised Terms on this page with an updated effective date. If changes are material, we will notify you by email or through the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
